SAN FRANCISCO-Forecross(r)
Corporation (VSE-FRX.U), the industry leader in automated application Migration today
announced that, subject to regulatory approval, it has arranged a private placement of
270,000 Units with five investors at a price per Unit of US$6.20, for gross proceeds of
US$1,674,000. Each unit shall consist of one share of Common Stock of the Company and one
share purchase warrant to purchase an additional share of Common Stock of the Company for
a period of two years after the date of issuance. The share purchase warrants are
exercisable at a price of US$6.20 per share in the first year and US$7.13 per share in the
second year. There is no finder's fee payable and the proceeds of the private placement
will be used for expanding the Company's activities and for general corporate purposes.
